Clorox chief executive Gerald Johnston has taken on the additional post of chairman. Mr. Johnston succeeds Robert Matschullat, who will serve as presiding director of the company’s board. Clorox initially split the chairman and chief executive roles to allow Mr. Johnston to focus on the business and develop his strategic plan as a new CEO. The company has recombined the roles now that Mr. Johnston has implemented his operating and strategic plans for the compan, and now that all its governance processes are in place.
Mr. Johnston has been CEO since June 2003. As chairman, he will focus on governance, board communication and board effectiveness. As presiding director, Mr. Matschullat will preside over board meetings where management is excluded and ensure that independent board members are comfortable with the board’s direction and activities, among other duties.
In related news, Clorox has appointed Carolyn Ticknor a director. She is the retired president of Hewlett-Packard’s imaging and printing business, and serves on the boards of Veritas Software and OfficeMax Inc.
